HR Concierge Service Policy

1. Introduction

This HR Concierge Service Policy (“Policy”) outlines the terms and conditions governing Tempfind Inc.’s (“Tempfind”) optional recruitment support service known as the HR Concierge Service (“HRC Service”). The HRC Service offers dental clinics (“Clinics”) personalized recruitment assistance in sourcing, vetting, and onboarding qualified dental professionals (“Professionals”) for ongoing recurring shifts, trial-to-hire engagements, and temporary coverage.

The goal of this Policy is to ensure transparency, integrity, and legal compliance throughout the concierge recruitment process.

Note: For Clinics transitioning Professionals into long-term direct employment, this Policy works in tandem with the Direct Recruitment Policy, which outlines broader terms governing hiring practices on the Platform.

1.1. Relationship Disclaimer

Tempfind is a technology and facilitation platform and is not the employer of any Professional introduced through the Platform or the HRC Service. Unless expressly agreed otherwise, all Professionals introduced through Tempfind are deemed independent contractors or third-party service providers, not employees or agents of Tempfind. Clinics are solely responsible for ensuring compliance with all employment and labor laws related to their engagement.

2. Acceptance of Terms

By using the HR Concierge Service, both Clinics and Professionals agree to be bound by the terms of this Policy, as well as Tempfind’s general Terms of Use, Privacy Policy, and any other applicable agreements.

3. Membership Requirement

To initiate candidate sourcing, screening, and placement under the HRC Service, the Clinic must be enrolled in an active Business or Enterprise Membership:

  • Business Membership Fee: $149/month (12-month commitment, single clinic location)

  • Enterprise Membership Fee: Custom pricing as agreed in writing between Tempfind and the Clinic's Head Office
  • Benefits: Unlimited hiring via Tempfind with no per-shift placement or agency fees

  • Membership must be active before Tempfind begins reviewing requirements, sourcing candidates, or coordinating interviews.

4. HR Concierge Process

Tempfind’s HRC Service provides end-to-end support in sourcing and securing the right Professional for your clinic. The process includes:

  • Requirement Intake: Clinics submit a detailed description of the role, including job type, schedule, required credentials, and ideal candidate profile.

  • Candidate Screening: Tempfind’s Talent Team identifies and pre-screens qualified Professionals from its vetted talent pool.

  • Interview Coordination: Tempfind schedules and facilitates interviews between the Clinic and selected candidates.

  • Paid Trial Shift: Tempfind arranges a paid trial shift via the Platform to assess fit before ongoing engagement.

  • Recurring Shift Setup: Once a Professional is selected, Tempfind coordinates their ongoing schedule within the Platform.

5. Service Guarantee

If Tempfind is unable to present at least one qualified candidate matching the Clinic’s written requirements within the first 30 days of Business Membership, the Clinic may request membership cancellation and receive a full refund of the monthly fee.

Exclusions: This guarantee does not apply if:

  • The Clinic has used the membership during that period to book temporary shifts, one-day temps, or other non-HR Concierge placements; or

  • The Clinic had an active Busienss or Enterprise Membership prior to submitting the HR Concierge request, in which case the Membership will continue under the standard 12-month term.

  • For Enterprise Memberships on custom pricing, the applicable monthly fee will be the amount agreed to in writing between Tempfind and the Clinic under the custom pricing arrangement.

6. Engagement & Billing

6.1. Membership Plan Benefits

  • Unlimited shift bookings with no additional placement fees

  • The chosen HR Concierge Professional will be assigned to all recurring shifts via Tempfind

  • Additional Temp Professionals can be booked under the same plan at no extra cost

  • If a replacement is needed, Tempfind will provide a qualified replacement at no additional fee, subject to candidate availability

  • Early cancellation fee: Two (2) months of service

6.2. Shift Billing & Payment

  • Clinics’ credit cards are billed upon shift confirmation (based on hours logged by the Professional and approved by the Clinic)

  • All HR Concierge shifts must be paid exclusively through Tempfind — direct payments to Professionals are not permitted

  • A 3.9% payment handling fee applies to each shift to cover payment processing and administrative costs

  • Tempfind disburses Professional payments weekly in accordance with its Payment and Compensation Policies

7. Direct Hire Conversions

  • Clinics may request to hire a Professional directly only after they have completed three (3) months of work via Tempfind

  • A written request must be submitted to Tempfind to negotiate the applicable placement fee

  • If a Clinic bypasses Tempfind and hires a referred Professional directly, a Direct Hire Fee of $2,750 CAD will apply

  • This restriction remains in effect for 12 months after the last shift or introduction arranged by Tempfind

 

8. Non-Circumvention Agreement

To protect the value Tempfind provides, the following rules apply:

8.1. Clinics

  • Clinics may not offer, finalize, or suggest any direct or off-platform agreements with Professionals introduced through the HRC Service without notifying Tempfind and selecting the Direct Hire option.

  • Violation of this clause obligates the Clinic to pay the full $2,750 Agency Finder Fee immediately upon discovery. Tempfind reserves the right to suspend access or pursue legal or administrative remedies as needed.

8.2. Professionals

  • The Professional agrees not to engage in any direct or indirect arrangement with any clinic introduced through Tempfind’s HR Concierge Service outside of the Tempfind platform, without prior written approval from Tempfind.

  • If the Professional is approached by a clinic and offered direct work or employment outside of Tempfind, the Professional must notify Tempfind immediately.

  • Failure to disclose such communication or accepting direct work with a Tempfind-referred clinic outside of the approved model may result in permanent removal from the platform and Tempfind.

  • This clause remains in effect for 12 months following the last shift or introduction facilitated by Tempfind.

9. Confidentiality

All information exchanged during the HRC process—such as candidate data, compensation details, and clinic requirements—must remain confidential between the Clinic, Professional, and Tempfind. Unauthorized disclosure is strictly prohibited.

10. Privacy and Data Protection

Tempfind complies with applicable privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA). Clinics agree to handle all Professional data in accordance with these standards and may not store or share any such data for purposes unrelated to the recruitment process. 11. Trial Shift Conduct & Responsibilities

Clinics are responsible for providing a safe, lawful, and professional environment during the trial shift.
Professionals must adhere to all applicable clinic policies and demonstrate professionalism at all times.
Any misconduct should be reported to Tempfind immediately for investigation.

12. Disputes and Investigations

Tempfind will investigate all disputes regarding shift hours, behavior, or payment discrepancies if the clinic chooses Business Membership rout. Final decisions will be made in good faith and at Tempfind’s sole discretion, based on the facts provided.

13. Limitation of Liability

To the fullest extent permitted by law, Tempfind and its affiliates shall not be held liable for any indirect, incidental, or consequential damages arising from the use of the HRC Service, including disputes, misrepresentations, or employment-related issues. Tempfind provides the service on an “as is” basis and makes no guarantees as to the outcome of any engagement.

14. Force Majeure

Tempfind shall not be liable for any delays or failures in service caused by events outside its control, including but not limited to natural disasters, acts of government, labor disruptions, pandemics, or third-party system outages (e.g., Stripe).

15. Governing Law

This Policy shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from this Policy shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario.

16. Policy Updates

Tempfind may update this Policy periodically. Users will be notified of significant changes by email or via platform notifications. Continued use of the HRC Service constitutes agreement with the updated terms.

17. Appeals

If you wish to appeal any decision related to this Policy, please submit a written appeal within seven (7) days of receiving notice. Tempfind will review and respond to all appeals fairly and in good faith.
